Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Kazozo AI agent platform, APIs, dashboards, and related services (the "Services") provided by Kazozo, Inc. ("Kazozo," "we," "our," or "us"). By creating an account or using the Services, you agree to these Terms.

1. Account Registration

To use the Services, you must create an account with accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and API keys. You are responsible for all activity under your account, including actions by users you invite to your tenant. Notify us immediately at security@kazozo.com if you suspect unauthorized access.

2. Services Description

Kazozo provides an AI-powered agent platform that automates customer interactions, lead qualification, sales support, and business operations for small and medium businesses. Our agents use third-party AI models (Anthropic Claude) to process natural language and perform tasks on your behalf. The Services include web dashboard access, API access, embeddable chat widget, multi-channel messaging, and integrations with third-party tools.

3. Subscription Plans & Billing

3.1 Plans

We offer three subscription tiers: Starter ($149/month, 3 agents, 500 resolutions), Growth ($399/month, 8 agents, 2,000 resolutions), and Pro ($899/month, all 11 agents, 6,000 resolutions). Enterprise plans are available by contacting sales. Plan details and pricing may change with 30 days advance notice.

3.2 Billing

Subscriptions are billed monthly in advance. Overage charges (resolutions beyond your plan's included amount) are billed at the end of each billing cycle at your plan's overage rate. All fees are in US dollars and non-refundable except as required by law.

3.3 Payment

Payment is processed by Stripe. By subscribing, you authorize us to charge your payment method on file. If payment fails, we will notify you and may suspend access after 7 days of non-payment.

3.4 Cancellation

You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period. You retain access until then. We retain your data for 90 days after cancellation, during which you can export your data or reactivate your account.

5. Your Data

5.1 Ownership

You retain all rights to your data, including conversation data, knowledge base documents, customer information, and configuration. Kazozo does not claim ownership of your data.

5.2 License to Provide Services

You grant Kazozo a limited, non-exclusive license to process, store, and transmit your data solely to provide the Services. This includes sending conversation data to AI model providers (Anthropic) for processing.

5.3 Data Isolation

Your data is isolated within your tenant. We do not share your data with other customers. We do not use your conversation data to train AI models.

5.4 Data Export

You may export your conversation data at any time via the Export API (CSV or text format) or by contacting support.

6. AI Disclaimer

The AI agents provided through our Services generate responses using machine learning models. While we strive for accuracy and helpfulness, AI-generated responses may contain errors, inaccuracies, or inappropriate content. You are responsible for reviewing and supervising AI agent interactions. Kazozo is not liable for decisions made based on AI-generated content. You should not rely on AI agents for medical, legal, financial, or other professional advice without human oversight.

7. Third-Party Integrations

The Services may integrate with third-party tools (CRM systems, payment processors, communication platforms). Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability, accuracy, or security of third-party services. You authorize data flows to third-party services when you configure integrations.

8. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance with reasonable advance notice. We are not liable for downtime caused by factors outside our control (internet outages, third-party provider failures, force majeure events).

9. Intellectual Property

Kazozo retains all rights to the platform, software, APIs, documentation, agent configurations, and proprietary technology. These Terms do not grant you any rights to our intellectual property except the limited license to use the Services during your subscription. You may not copy, modify, or distribute our software or create derivative works.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAZOZO'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. KAZOZO IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.

11. Indemnification

You agree to indemnify and hold harmless Kazozo, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Modifications

We may update these Terms from time to time. We will provide at least 30 days notice of material changes via email or a prominent notice on the platform. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you disagree with changes, you may cancel your subscription before they take effect.

13. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms or engage in activity that harms the platform or other users. Upon termination, your right to use the Services ceases. Sections 5.1, 6, 10, 11, and 14 survive termination.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association. Either party may seek injunctive relief in court for intellectual property violations or security breaches.
